History

Hellenic Bottling Company

Hellenic Bottling Company S.A. was incorporated under the laws of Greece in 1969, with headquarters in Athens. The Coca-Cola Company granted the firm its bottling rights in the country in 1969.

In 1981, Kar-Tess Holding S.A., a private holding company, acquired a 99.9 per cent interest in the firm. After this, Hellenic Bottling Company expanded its business through acquisitions. Prior to the acquisition of Coca-Cola Beverages plc. in 2000, it operated in 11 countries with a total population of approximately 200 million.

The company had operations in Greece, Bulgaria, Armenia, the Former Yugoslav Republic of Macedonia (FYROM) (through an equity investment), Serbia, Montenegro, Northern Ireland, the Republic of Ireland, Nigeria, part of Romania, Moldova and part of the Russian Federation (through an equity investment).

Hellenic Bottling Company’s shares were listed on the Athens Stock Exchange in July 1991. It became one of the largest non-financial companies listed in Greece. The Kar-Tess Holding S.A. held an interest of around 68.6 per cent in Hellenic Bottling Company prior to its acquisition of Coca-Cola Beverages in August 2000.

Coca-Cola Beverages

In July 1998, Coca-Cola Amatil Limited, an Australian-based bottler for The Coca-Cola Company, de-merged its European operations. This resulted in the formation of Coca-Cola Beverages plc.

Coca-Cola Beverages was incorporated under the laws of England and Wales and listed on the London Stock Exchange, with a secondary listing on the Australian Stock Exchange.

The new company’s territories consisted of Austria, Switzerland, Croatia, the Czech Republic, Hungary, Poland, Slovakia, Slovenia, Belarus, Bosnia and Herzegovina, Ukraine and a part of Romania.

Coca-Cola Beverages also acquired the Northern and Central Italian bottling operations of The Coca-Cola Company in 1998. As a result, Coca-Cola Beverages had bottling operations in 13 countries with a total population of approximately 200 million prior to its acquisition by Hellenic Bottling Company.

Before the company was acquired, The Coca-Cola Company held (directly and indirectly) a 50.5 per cent interest in Coca-Cola Beverages.

The Olayan Group is a diversified multinational Saudi Arabian group, which holds an interest in the bottler of products of The Coca-Cola Company for Saudi Arabia. It held a 10.8 per cent interest and the remainder of Coca-Cola Beverages’ shares was publicly held.

Coca-Cola Hellenic Bottling Company

Following the acquisition of Coca-Cola Beverages, Hellenic Bottling Company was renamed Coca-Cola Hellenic Bottling Company S.A. in 2000. We were the second largest bottler of The Coca-Cola Company’s products in the world at that time, based on sales volume.
